The Boards of Directors of Ansaldo Energia and Ansaldo Nucleare have approved the merger plan for the incorporation of Ansaldo Nucleare into Ansaldo Energia, alongside the creation of a dedicated Nuclear Business Unit. The new organisation is designed to further strengthen the role of nuclear energy in the Group’s growth strategy and accelerate the development of its nuclear activities by leveraging Ansaldo Energia’s industrial scale and investment capacity, against a backdrop of nuclear technology’s growing importance in the Italian and international energy landscape.
The transaction will be subject to the subsequent approval steps in accordance with the applicable procedures. The plan will also be presented to the trade unions as part of the information and consultation process with employee representatives.
Nuclear energy is returning to the centre of long-term energy strategies, driven by the need to strengthen energy security, support competitiveness and ensure reliable, low-carbon power generation. Against this backdrop, Ansaldo Energia sees nuclear energy as one of its key growth areas for the coming decades.
The integration is intended to strengthen and further build on Ansaldo Nucleare’s activities, combining more than sixty years of specialised nuclear expertise with Ansaldo Energia’s industrial scale, financial strength and execution capabilities. As a manufacturer of steam turbines and generators, including those for nuclear power plants, the Group will bring established capabilities in engineering, manufacturing, supply chain management and long-term services, while ensuring full continuity of operations, certifications, ongoing programmes, and relationships with customers and partners. The integration will also streamline management, accelerate the implementation of strategic initiatives and enable greater cost efficiency.
The new Nuclear Business Unit will further enhance the expertise developed by Ansaldo Nucleare in lifetime extension programmes for existing nuclear plants, Small Modular Reactors (SMRs), advanced Generation IV reactors and major international nuclear fusion programmes, leveraging the Group’s industrial and financial capabilities to support further growth in the sector.
As part of the new organisation, Daniela Gentile, currently CEO of Ansaldo Nucleare, will assume the role of Executive Vice President Nuclear of Ansaldo Energia, leading the Business Unit and the Group’s strategic development initiatives in the sector.
“Nuclear energy is returning to the centre of long-term energy strategies across Europe. With this integration, we are further strengthening the role of nuclear within Ansaldo Energia, bringing together specialised expertise, industrial capabilities and financial strength. Our goal is to accelerate the development of the Group’s nuclear activities, contributing to the growth of the Italian supply chain and to strengthening the country’s energy security and competitiveness,” said Fabrizio Fabbri, CEO of Ansaldo Energia.
“This organisational evolution builds on the complementarity between more than sixty years of nuclear expertise and the Group’s industrial capabilities. In a rapidly growing market, we will be able to offer our customers even more comprehensive support in the development and delivery of next-generation nuclear programmes,” said Daniela Gentile.
Ansaldo Energia: nuclear expertise and projects
The Ansaldo Energia Group operates across the entire nuclear value chain, from the design and manufacturing of high-tech components to plant lifetime extension, from nuclear safety and decommissioning to the development of next-generation technologies. Through Ansaldo Nucleare, the Group participates in international programmes such as ITER, collaborates with several international Small Modular Reactor (SMR) programmes and plays a leading role in the development of the European EU-SMR-LFR project, an initiative focused on developing an advanced Generation IV lead-cooled modular reactor.
Ansaldo Energia is a shareholder in Nuclitalia, contributing to the assessment of the most promising technologies for new nuclear power and to the development of the industrial capabilities and domestic supply chain required by the sector. Alongside this initiative, the Group is actively involved in developing the Italian nuclear industrial supply chain in collaboration with RINA, helping to involve Italian suppliers and expertise in future market opportunities.
The recent completion of the €470 million syndicated financing secured by Ansaldo Energia further strengthens the Group’s financial position and supports its capacity to invest in the activities set out in its Industrial Plan, including those aimed at developing its nuclear business.
